Terms & Conditions

VyaparSetu is a B2B trade trust platform for the construction material industry. The Platform enables:

• GST-verified Trader and Client registration
• Reporting and tracking of unpaid invoices and payment defaults
• Credit Safety Checks based on buyer payment history
• Trust Score computation based on verified trade behavior
• Marketplace listing for construction materials

To register on the Platform, you must:

• Hold a valid GST number and be a registered Indian business entity
• Be at least 18 years old and legally authorized to enter contracts
• Provide accurate, complete, and current information during registration
• Upload a valid GST Certificate matching your entered GST number

You are responsible for maintaining the confidentiality of your account credentials. The Platform reserves the right to reject or revoke any registration.

Certain features require a paid subscription. By subscribing:

• You authorize charges as per your selected subscription plan
• All payments are non-refundable unless otherwise stated in writing
• Subscription plans may change with 30 days' prior notice
• New users receive a free trial period at registration

Failure to renew will result in restricted access to premium features. Basic features remain at the Platform's discretion.

When reporting a defaulter or unpaid invoice, you agree that:

• All information submitted is accurate, truthful, and backed by verifiable documentation
• Filing a false or malicious default report is a serious violation and may result in legal action
• Reported data is reviewed by the admin team before being visible to other traders
• Buyer GST information is anonymized in public-facing trust reports to protect privacy

The Platform strives to ensure only verified records are published.

Available to subscribed Traders for GST-based payment history verification. You agree that:

• Results are advisory only — the Platform does not guarantee accuracy of credit safety scores
• You shall not use results to harass, defame, or discriminate against any business
• Trade decisions based on these results are entirely at your own business risk
• The Platform is not liable for any commercial loss arising from reliance on this data

Users are strictly prohibited from:

• Submitting false or fabricated invoices, certificates, or business documents
• Creating multiple accounts for the same GST number or business entity
• Using the Platform for spam, phishing, or unauthorized solicitation
• Attempting to hack or gain unauthorized access to any part of the Platform
• Impersonating another business, trader, or official representative
• Scraping or bulk-downloading data from the Platform
• Violating any applicable Indian law or regulation via the Platform
• Filing malicious defaulter reports to damage a competitor's reputation

By using the Platform, you acknowledge and agree:

• Your GST number, business name, and contact information are collected for identity verification
• PAN number and GST certificates are stored securely and not shared with third parties without consent
• Aggregated trade behavior data may be used for trust score computation and platform analytics
• We comply with the Information Technology Act, 2000 and applicable Indian data protection laws
• You may request deletion of your personal data, subject to applicable legal obligations

All content, design, code, and logos are exclusive property of VyaparSetu. You agree that:

• You may not reproduce, copy, or distribute Platform content without prior written permission
• The Trust Score algorithm and defaulter database are proprietary to the Platform
• User-submitted data remains yours, but you grant the Platform a license to use it for its services

VyaparSetu shall not be liable for:

• Any direct, indirect, or consequential loss arising from use of the Platform
• Commercial decisions made based on Trust Scores, Credit Safety Check, or defaulter reports
• Loss caused by unauthorized account access due to your own negligence
• Temporary Platform unavailability due to maintenance or technical issues
• Any loss resulting from a Trader's failure to update payment statuses promptly

Our maximum liability shall not exceed subscription fees paid by you in the 3 months prior to the claim.

The Platform may suspend or permanently terminate your account for:

• Violation of any clause in these Terms and Conditions
• Submission of fraudulent documents or false business information
• Filing malicious or unsubstantiated defaulter reports
• Non-payment of applicable subscription fees
• Any activity causing harm to other users or the Platform's reputation

Upon termination, access to all features will be revoked. Data may be retained as legally required.

These Terms are governed by the laws of India.

• Any dispute shall be subject to the exclusive jurisdiction of Indian courts
• Parties agree to first attempt resolution through the Platform's grievance mechanism
• Unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996
